| Peter Harley B.Comm, FCPA, FAICD
Non-Executive Chairman
Peter has significant and wide ranging commercial experience,
particularly in relation to growth focused companies, with which
he has worked closely over the past 26 years. For ten years
proceeding 1996, Peter held the position of Executive Director
with transit technology and smart card company, ERG. Since leaving
ERG, Peter has acted in the role of senior consultant to a number
of organisations providing strategic advice on areas including:
business planning, strategic marketing, and acquisitions and
investments. Peter holds a number of board positions with companies
which include: Western Australia's largest venture capital fund,
Foundation Capital Ltd. As well as being Chairman of the Board
for iiNet, Peter is also the Chairman of the Australian Telecommunications
Cooperative Research Centre based at Curtin University of Technology.
Peter is also a Director of Gunson Resources Ltd and Perilya
Limited. |

Michael
Malone B.Sc, DipED
Managing Director
One of the founding partners of iiNet Limited, Michael has been responsible for driving the
rapid development, which has seen iiNet grow from humble beginnings in 1993 to a Public
Company with revenues of over $40 million dollars in 2003. In addition to his role as the
Managing Director of iiNet Limited, Michael also oversees the management of the internal
technical systems and customer service tracking systems.

| Andrew Milner B.Bus(IT) Non-Executive Director
Prior to its acquisiton by iiNet Limited, Andrew was the founder,
Managing Director and principal shareholder of WA based Wantree Internet.
After completing his studies at University in 1991, Andrew was successful in developing
and marketing a PC based communication software package, which achieved world-wide
distribution and provided a solid foundation for the launch of Wantree Internet at
the end of 1994. Prior to becoming a Non-Executive Director of iiNet Limited on July 4, 2003,
Andrew occupied the role of General Manager with Chime Communications, iiNet's wholly-owned
telecommunications subsidiary.

Peter James BA, FAICD
Non-Executive Director
Peter James is Managing Director of Adcorp Australia Limited, a publicly listed advertising and
communications company. Based in Sydney, Peter has a successful track record across a range of complex businesses
including technology, outsourcing, services, recruitment, education and manufacturing.
He has over 12 years experience as a Board Member of Public Companies and 7 years as CEO/Group
Managing Director. Peter was an Executive Director of Computer Power Group Ltd from 1991 and
subsequently CEO from 1996 until 1999 when he negotiated the Company's sale to a US based
multi-national realising significant value to all shareholders. During his period as CEO
Computer Power Group was rated as one of Australia's top 100 growth companies. Peter is the
former President and Group Managing Director of Spherion Asia Pacific, the former CEO of
Ainsworth Game Technology and was non-Executive Director of HarvestRoad Limited from 1999 - 2003.
Peter brings to the Board significant experience in business development, strategic planning and marketing and has over 30 years
experience in the communication and information technology industries.

| Keith Goodall Non-Executive Director
Keith Goodall is an Auckland based chartered accountant who has extensive experience in
business consulting and advising on merger and acquisiton strategy. Keith operates two successful
businesses of his own and joined ihug as Chairman in 2002. Keith is also Chairman of Bayswater
Marine Group, St Marks Group Ltd, RX Plastics Ltd, United Flower Auction Ltd and deputy Chairman
of Multi-Serve Education Trust Ltd.

Lindsay Fergusson LL.B., LifeFNZIM,
FInstD
Non-Executive Director
Lindsay is currently Chief Executive Officer and a director of Auckland Trotting
Club. He has had wide international commercial experience at
board level over the past 30 years, including 17 years as a
CEO. He was with Mobil Oil Corporation for 26 years and held
a number of senior positions in marketing, strategic planning
and general management in Mobil's operations in NZ, Australia,
Malaysia, Greece, the UK and the USA. He was then Managing Director
of NZ Steel Ltd and Magnum Corporation Ltd (now called DB Group),
both of which were publicly listed companies. He is a former
director of the Reserve Bank of New Zealand, Forestry Corporation
of New Zealand Ltd, the Auckland Regional Chamber of Commerce
& Industry, and a former Council member of Auckland University
of Technology. Most recently, as a director of Terabyte Interactive
Ltd and the founding Chairman and CEO of Virtual Spectator Inc.,
Lindsay has had practical experience of the challenges of growing
internet based consumer services companies.
